Terms & Conditions

1. General

These Terms apply to all users of the Services, including without limitation users who are sellers, buyers, merchants, or contributors of content, information, and other materials. If you are entering into this agreement for and on behalf of a business entity, the term “you” in this agreement shall mean the business entity on whose behalf you are using the Services, unless the context does not permit.

These Terms are between you and FROPPY Pte. Ltd. or between you and any different service provider identified for a particular Service. For ease of reference, each of FROPPY Pte. Ltd. and its subsidiaries are referred to in these Terms as “FROPPY”.

By using the Services in any manner, including but not limited to visiting or browsing the Services, you agree to observe and be bound by these Terms and the additional terms and conditions and policies referenced herein and/or available by hyperlink.

FROPPY reserves the right to change or modify these Terms at any time. You will be deemed to have agreed to the amended Terms by your continued use of the Services following the date on which the amended Terms are posted here.

2. Use of the Services

Subject to your compliance with these Terms, FROPPY grants you a limited, non-exclusive, revocable (with or without cause), non-transferable right and license to use the Services.

You shall use the Services in accordance with these Terms and shall not:

  • Upload or communicate any Content that violates another party’s rights of publicity, privacy, copyright, trademark, or other intellectual property rights.
  • Copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or performance of the Services.
  • Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Services.
  • Violate any applicable laws, rules, or regulations in connection with your access or use of the Services.
  • Use the Services to circumvent any sanctions or embargo.
  • Remove, alter, or obscure any proprietary notice of FROPPY or its affiliates.
  • Use the Services for purposes other than intended.
  • Use the Services to create or promote a product that competes with FROPPY.
  • Use FROPPY’s proprietary information or intellectual property in any application, accessories, or devices.
  • Send or communicate any Content that is false, offensive, defamatory, fraudulent, obscene, or otherwise objectionable.
  • Send unsolicited or unauthorized messages, advertising, or promotional materials.
  • Upload or transmit harmful components, such as viruses or malware.
  • Use automated methods (scrapers, bots) to access or monitor the Services.
  • Collect user information without consent.
  • Engage in activities to avoid paying applicable fees.
  • Manipulate promotions or campaigns through fraudulent means.
  • Misrepresent product listings under FROPPY’s programs.
  • Authorize or encourage others to violate these terms.

FROPPY reserves the right to reclaim any cashbacks, prizes, or amounts paid under events, promotions, or campaigns if you are found to have violated these Terms, guidelines, or policies.

3. Account

To access certain Services, you must create an account ("Account"). By creating an Account, you represent and warrant that:

  • You are at least 18 years old if registering as an individual.
  • You have authority to bind an entity if registering on its behalf.
  • You are legally capable of entering into binding contracts.
  • All information provided is accurate, truthful, and complete.

If you are under 18, you may use the Services only with parental consent and supervision. You are responsible for activities and transactions under your Account. FROPPY is not liable if your Account or password is misused by a third party.

You agree to:

  • Keep your password secure.
  • Keep your account details up to date.
  • Comply with FROPPY’s policies and applicable laws.

You may not set up multiple accounts unless expressly permitted. You may not lend, transfer, or sell your Account. FROPPY reserves the right to suspend or terminate your Account at any time.

4. FROPPY is a Venue

The Services act as a venue for users to interact, buy, and sell items. FROPPY does not pre-screen users or their Content and is not directly involved in transactions except where it is the seller.

FROPPY is not responsible for:

  • The quality, safety, legality, or authenticity of items listed.
  • The accuracy of listings or ability of users to transact.
  • The identity, age, or background of users.
  • Any Content posted by users.

While FROPPY strives to maintain a safe platform, your interactions with other users are at your own risk. Use available platform features to communicate with other users and exercise caution.

5. Content

The Services allow users to create listings, share media, and post Content. You retain ownership of Content but grant FROPPY a worldwide, royalty-free, transferable license to use, display, reproduce, modify, and distribute such Content for platform operations and promotions.

You are solely responsible for Content you share and any consequences arising from it. FROPPY does not pre-screen Content but may remove or block Content in cases where:

  • The Content violates these Terms.
  • A complaint or infringement notice is received.
  • The Content is deemed inappropriate.

FROPPY may also block communications that violate these Terms or compromise platform security.

6. Selling and Buying on FROPPY

Without prejudice to the rest of these Terms and FROPPY’s policies, you warrant, in respect of each job opportunity, service, and/or item you offer for sale on the Services, that:

  • You are the owner of the item, and the item is not stolen.
  • The item is not counterfeit and does not infringe upon any third party's intellectual property rights.
  • The sale of the item complies with all applicable laws and regulations.
  • The item is not dangerous, hazardous, or subject to a recall by a government or manufacturer.
  • All selection criteria in a job listing are objective and do not refer to age, race, language, gender, marital status, or religion, except for Specific Attributes.
  • The Content in any listing does not violate any applicable laws, regulations, or third-party rights.

All offers made and accepted through the Services are binding.

For Sellers:

  • You agree to ship the item or complete the transaction with the buyer in a prompt manner, unless an exceptional circumstance arises.
  • You may charge reasonable shipping and handling fees, but not excessive charges.
  • You may not alter the item's price after a sale or misrepresent the item's location or price.

For Buyers:

  • You agree to make prompt payment unless an exceptional circumstance prevents you from doing so.

In any transaction, you may obtain a user’s personal information such as email, phone number, and address. You shall use such information solely for the purpose of the transaction and shall not misuse or share it without consent.

FROPPY is not responsible for ensuring that users complete transactions.

Malaysia Compliance

If you are a user in Malaysia, you must disclose the following information under the Consumer Protection (Electronic Trade Transactions) Regulations 2012:

  • Your name, business name, or company name.
  • Your business or company registration number.
  • Your contact details, including email and phone number.
  • A description of the goods or services offered.
  • The full price, including taxes and any additional costs.
  • Accepted payment methods.
  • The terms and conditions of the sale.
  • The estimated delivery timeframe.

Failure to comply may result in legal consequences. FROPPY shall not be liable for any non-compliance.

7. Buyer Protection

Sellers may enable Buyer Protection by activating the ‘Buy’ button, which includes payment and shipping services. Buyer Protection transactions above S$20,000 are not supported.

By using Buyer Protection, you agree to:

  • Follow the procedures and rules outlined in the guidelines and FAQ.
  • Confirm the deal and shipping status if you are a seller.
  • Confirm receipt of the item as a buyer within the required timeframe.
  • Raise disputes within the dispute window.
  • Keep all transactions within the platform.
  • Avoid using Buyer Protection for Prohibited Items.
  • Use tracked delivery for additional protection.

Transaction and Refund Policies:

  • Payments are held by FROPPY until fulfillment conditions are met.
  • If an order is not shipped within 7 days, it may be canceled.
  • If an order is not confirmed by the buyer within 7 days, it will be automatically marked as "Received and Completed."
  • Buyers can raise disputes within the dispute window.
  • Sellers are responsible for return shipping if an item is not as described.

FROPPY reserves the right to withhold or refund payments based on these conditions.

8. Payment Service

Buyer Protection and FROPPY allow a buyer to make payments for purchases of items listed on the Platform using:

  • A credit or debit card registered with FROPPY.
  • A DBS PayLah! account successfully connected through the Platform.
  • Buy now, pay later options provided by Payment Service Providers.
  • A PayNow account successfully connected through the Platform.

8.1. Account Balance

Payments received by a seller through Buyer Protection and/or FROPPY are credited to the seller’s Account as a balance ("Balance") once certain conditions are met. These conditions include verification of:

  • The identities of all directors, partners, and persons with executive authority (if representing an Entity).
  • The identity and authority of any agent or individual appointed to act on behalf of the Account.
  • The existence and identity of any beneficial owner associated with the Account.

These verifications comply with economic sanctions, anti-money laundering, and counter-terrorism financing laws.

Sellers can withdraw their available balance to a linked bank account or debit card ("Default Withdrawal Method") by submitting a withdrawal request ("Withdrawal Balance Request"). FROPPY may also initiate an automatic withdrawal ("Automatic Withdrawal") under the following conditions:

  • The balance exceeds S$1,000.
  • A regular withdrawal schedule is determined by FROPPY.

Automatic Withdrawals occur on business days, and funds may take up to four (4) business days to be credited.

No fees will be charged for Withdrawal Balance Requests or Automatic Withdrawals. However, FROPPY reserves the right to amend these terms with at least ten (10) days prior notice. Continued use of the Services after such notice constitutes acceptance of the updated fees.

FROPPY may debit or credit your Balance to:

  • Correct errors in transaction processing.
  • Provide refunds for fraudulent or suspicious transactions.
  • Compensate for lost, damaged, or incorrect items.
  • Adjust for rewards, rebates, or unpaid fees.
  • Settle transaction disputes.
  • Cover return shipping fees.
  • Handle banned items or customs detentions.
  • Process buyer-seller agreed changes.

8.2. Payment Services Provider

FROPPY integrates third-party Payment Service Providers for payment processing. Users agree to comply with their respective terms.

To use the Payment Services, you must provide FROPPY with accurate payment details, including at least one valid debit/credit card or a valid DBS PayLah! account. Payment processing may be facilitated through third-party providers like Stripe.

By linking a payment method, you confirm that:

  • You are legally authorized to provide the payment details.
  • You are authorized to perform payments from the provided account.
  • The transaction does not violate the applicable terms or laws.

You are responsible for any fees imposed by financial institutions or payment processing partners. By using a payment method, you accept the terms of the relevant financial entity.

You authorize FROPPY and its affiliates to process payments on your behalf, including making, accepting, and refunding transactions.

9. Shipping Service

Buyer Protection allows sellers to:

  • Specify available delivery options.
  • Set delivery fees or choose pre-listed delivery rates.

When a buyer places an order, they must select an available delivery option and pay the applicable delivery fees. The seller is responsible for ensuring that delivery fees and information are accurate. Buyers must ensure that their shipping details, including address and phone number, are correct.

Seller Responsibilities:

  • Deliver sold items using the buyer’s chosen delivery method.
  • Ensure that all shipping details are accurate.

Buyer Responsibilities:

  • Choose a tracked or registered delivery method for additional security.
  • Ensure that shipping details are correct.

If a tracked delivery does not arrive, the seller may be required to provide valid proof of shipment. FROPPY is not responsible for shipping failures, damages, or delays.

9.1. Shipping Services Provider

FROPPY may integrate third-party Shipping Service Providers, whose terms must be followed by users.

To use Shipping Services, users must provide accurate delivery information, including the recipient’s address and phone number. Third-party providers like J&T Express Singapore Pte Ltd may manage deliveries.

Buyers are responsible for any additional shipping fees imposed by the Shipping Service Provider. Sellers acknowledge that applicable fees will be deducted from the transaction payout.

FROPPY reserves the right to:

  • Process refunds and payments related to shipping.
  • Withhold funds to reimburse buyers in case of prohibited transactions.
  • Charge additional fees if discrepancies arise in weight or delivery details.

10. Transaction Fees

Users may be charged applicable transaction fees by FROPPY, including:

For Buyers:

  • Payment fees applicable to Buyer Protection transactions.
  • Fees deducted from registered payment methods upon successful order placement.

For Sellers:

  • Success fees deducted from payments received after order fulfillment.
  • Fees applicable based on platform policies.

FROPPY reserves the right to adjust transaction fees. Changes will be communicated via platform notifications or email. Continued use of the Services after such notice constitutes acceptance of the updated fees.

11. Prohibited Items

Without prejudice to the generality of Clause 9, you acknowledge and agree that you shall not use the FROPPY Platform, Payment Services, and/or the Shipping Services in connection with unlawful or illegal activities such as counterfeiting, money laundering, and counter-terrorism financing, including any content, business, or activities outlined in the following policies: FROPPY Guidelines and Stripe Prohibited Businesses (collectively, the “Prohibited Transactions”).

You understand and agree that all Prohibited Transactions shall be deemed void, and FROPPY reserves the right to take necessary actions, including but not limited to:

  • Removing or compelling you to remove any illegal, infringing, or prohibited content without prior notice.
  • Accessing, preserving, and/or disclosing your account information or content related to Prohibited Transactions to legal, regulatory, or governmental authorities, relevant rights owners, or third parties as required by law.
  • Freezing and holding the funds in your Balance if suspected of engaging in Prohibited Transactions until the matter is resolved.

You further agree that you are responsible for all purchases and/or sales using Buyer Protection and/or FROPPY under your Account, including unauthorized transactions.

12. Disputed Transactions

If you or another user files a dispute through the Platform regarding any transactions made via FROPPY (each a “Disputed Transaction”), you agree to comply with the procedures outlined in FROPPY’s guidelines and FAQs.

If the dispute cannot be resolved through the standard resolution process, you agree that FROPPY shall have the final authority in resolving the matter, subject to applicable laws and regulations. FROPPY’s decisions shall be binding and final.

You agree to release FROPPY and its related corporations from any claims, demands, liabilities, or costs arising from disputes with users regarding a Disputed Transaction.

FROPPY reserves the right to:

  • Freeze and hold funds related to the Disputed Transaction until resolved.
  • Return or redistribute the disputed funds to the buyer and/or seller.
  • Require the buyer to return the disputed item to the seller.
  • Require the seller to refund the disputed amount.
  • Require the seller to provide a replacement for the disputed item.

In cases where a Disputed Transaction is under investigation by the authorities, FROPPY may:

  • Hold the disputed funds for a minimum of one year unless the dispute is resolved.
  • Determine, at its discretion, whether to return the funds to the buyer or seller.

13. Disputes with Users

If you have a dispute with another user, you are encouraged to resolve the matter directly. If the dispute is reported to FROPPY, we may facilitate resolution in good faith but are not obligated to do so.

You agree to release and indemnify FROPPY from any claims, demands, liabilities, or damages arising from disputes with users of our Services.

14. Privacy

Your privacy is important to FROPPY. Our privacy practices are outlined in the FROPPY Privacy Policy. Please review it to understand how we collect, use, and disclose your information.

15. Intellectual Property

You acknowledge that the Services and all associated copyrights, patents, trademarks, trade secrets, and other intellectual property rights remain the exclusive property of FROPPY.

The source code, directories, queries, algorithms, structure, and organization of the Services are proprietary and confidential. No intellectual property rights are granted except as expressly stated in these Terms.

Third-Party Software

The Services may incorporate third-party software subject to open-source licenses. Your use of such software is governed by the terms of the respective open-source licenses. In the event of a conflict between these Terms and third-party licenses, the latter shall prevail regarding the use of third-party software.

The Services and their components shall not be deemed open-source or publicly available software.

Use of FROPPY Trademarks

You are not authorized to use FROPPY’s trademarks in advertising, publicity, or any commercial manner without prior written consent from FROPPY.

16. Reporting Unauthorised Content

FROPPY respects the intellectual property rights of others and expects the same from its users. If you believe that there has been unauthorised use of your intellectual property rights by a user, please follow the steps provided here to report the issue.

FROPPY reserves the right to suspend or terminate your account and/or access to the Services if repeat complaints of intellectual property infringement or violations of applicable laws and regulations are made against you.

17. Suspension and Termination

You may deactivate your Account at any time through the “Settings” section of your Account.

FROPPY reserves the right, at its sole discretion, to:

  • Suspend or terminate your Account and/or access to the Services for any breach of these Terms, guidelines, policies, or additional terms.
  • Suspend or terminate your Account and/or access to the Services for any reason, without prior notice.
  • Change, modify, suspend, or discontinue any part of the Services at any time, without prior notice.
  • Suspend or terminate your Account in cases of threats, verbal/written abuse, or misconduct against FROPPY users, employees, representatives, or officers.

If your Account is deactivated, suspended, or terminated, you will lose access to your Account and any associated Content. It is your responsibility to back up any Content before deactivation or termination.

Upon termination, all rights and licenses granted to you under these Terms shall immediately cease.

18. No Warranty

You acknowledge that the Services are provided on an "as is" and "as available" basis. Your use of the Services, Content, products, or services obtained through FROPPY is at your sole risk.

FROPPY does not warrant that:

  • The Services will be secure, uninterrupted, or error-free.
  • The Services will meet your expectations or requirements.
  • Any errors or defects will be corrected.
  • The Services and servers are free of viruses or harmful components.

The Services may experience limitations due to Internet-related issues, and FROPPY is not responsible for any delays, delivery failures, damages, or losses arising from such problems.

19. Limitation of Liability

YOU AGREE THAT YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO TERMINATE YOUR ACCOUNT OR DISCONTINUE USE OF THE SERVICES.

FROPPY and its affiliates shall not be liable for:

  • Indirect, incidental, consequential, or special damages arising from access to or use of the Services.
  • Damages arising from communications or meetings with other users.
  • Aggregate liability exceeding the fees received by FROPPY in respect of the disputed service.

Nothing in these Terms limits FROPPY’s liability for fraud, negligence, or other liabilities that cannot be excluded under applicable law.

20. Indemnity

You agree to indemnify and hold harmless FROPPY, its affiliates, officers, employees, and partners from any claims, damages, losses, costs, and expenses arising from:

  • Your use of the Services.
  • Your Content and/or products.
  • Any use of your Account.
  • Your violation of these Terms or applicable laws.

If a complaint is filed against you, FROPPY reserves the right to take any necessary action based on its discretion.

21. Compatibility

FROPPY does not guarantee that the Services will be compatible with your device, software, or hardware. Compatibility issues may result in performance issues or data loss, for which FROPPY is not responsible.

22. Sub-contracting by FROPPY

FROPPY reserves the right to delegate, sub-contract, or partner with third-party service providers, agents, or affiliates to perform any part of the Services.

23. Miscellaneous

You and FROPPY are independent parties, and no agency, partnership, joint venture, or employment relationship is created by these Terms.

If any provision in these Terms is deemed unenforceable, the remaining provisions shall remain in full effect.

FROPPY’s failure to enforce any provision does not constitute a waiver of its rights to enforce it in the future.

You may not assign or transfer any rights under these Terms without FROPPY’s prior written consent.

These Terms constitute the entire agreement between you and FROPPY, superseding all prior agreements.

24. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Singapore. You agree that the courts of Singapore shall have non-exclusive jurisdiction over any disputes arising from or related to these Terms.
